Recruitment Marketplace Terms of Use

AGREEMENT TO THESE TERMS

These Recruitment Marketplace Terms of Use (“Marketplace Terms”) govern your access to and use of the CruiseControl Recruitment Marketplace and job board (the “Marketplace”), operated by 2raywall Solutions Inc., doing business as 2raywall ("2raywall", “we”, “us”, or “our”). By accessing, browsing, registering for, submitting information to, or otherwise using the Marketplace, you agree to be bound by these Marketplace Terms. IF YOU DO NOT AGREE, DO NOT USE THE MARKETPLACE.

These Marketplace Terms supplement, and are in addition to, our general Terms of Use (https://cruisecontrolapp.com/legal/terms) and are subject to our Recruitment Marketplace Privacy Policy (https://cruisecontrolapp.com/legal/marketplace-privacy), each of which is incorporated by reference. To the extent a conflict exists between these Marketplace Terms and the general Terms of Use with respect to your use of the Marketplace, these Marketplace Terms control.

DEFINITIONS

  • “Candidate” means any individual who accesses or uses the Marketplace to view, search for, or apply to Job Postings, or who creates a candidate profile.
  • “Employer” means a business customer of 2raywall that has licensed the applicable Recruitment Module and submits Job Postings.
  • “Job Posting” means a job listing, requisition, or position description submitted by an Employer for display in the Marketplace.
  • “Candidate Content” means any information, materials, résumé/CV, work and education history, application, message, or other content you submit to or through the Marketplace.

RELATIONSHIP OF THE PARTIES; NO EMPLOYMENT RELATIONSHIP

The Marketplace is a venue and technology platform that connects Candidates and Employers. 2raywall is not an employer, staffing agency, recruiter, or party to any employment relationship, hiring decision, interview, offer, or communication between a Candidate and an Employer. We do not participate in, control, or guarantee any Employer’s hiring practices, screening, decisions, timing, or responses, and we do not guarantee that any Job Posting is accurate, current, lawful, available, or genuine, or that any application will result in an interview, offer, or employment. Employers are solely responsible for their Job Postings, their communications and dealings with Candidates, and their compliance with all applicable laws, including labor, employment, anti-discrimination, and data protection laws. Any reliance you place on Job Postings or Employers is at your own risk.

ELIGIBILITY

You must be at least 18 years of age and have the legal capacity to enter into these Marketplace Terms to use the Marketplace. By using the Marketplace, you represent and warrant that you meet these requirements and that all information you provide is true, accurate, current, and complete, and that you have the right to provide it.

ACCOUNTS AND SECURITY

You may be required to register for an account or profile to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may refuse, suspend, or terminate accounts in our sole discretion, including for inaccurate information or violation of these Marketplace Terms.

CANDIDATE CONTENT AND LICENSE

You retain ownership of your Candidate Content. By submitting Candidate Content to or through the Marketplace, you grant 2raywall a non-exclusive, worldwide, royalty-free license to host, store, cache, reproduce, reformat, translate, transmit, display, distribute, publish, and index such Candidate Content as necessary to operate, provide, secure, promote, and improve the Marketplace and the Service — including making your profile and applications available to Employers, enabling search, and, where such functionality is enabled, displaying Job Postings and profile information on public, cross-Employer, and internet-facing pages and through search engines.

You also grant us the right to create and use aggregated, anonymized, and de-identified data derived from Candidate Content and Marketplace usage for analytics, benchmarking, research, product improvement, and the development and training of statistical, machine learning, and artificial intelligence models, provided such data does not identify you; such derived data is our property and our rights in it survive termination. You represent and warrant that you have all rights necessary to grant these licenses and that your Candidate Content does not infringe or violate the rights of any third party or any law.

PUBLIC AND CROSS-EMPLOYER VISIBILITY

The Marketplace may include public, cross-Employer, and internet-facing features. Depending on the features enabled and your settings, your profile, applications, and related information may be visible to Employers and, where applicable, to the public and search engines. When you apply to or interact with an Employer, the information you share is provided to that Employer, which acts as an independent data controller with respect to the information it receives and handles it under its own policies. We are not responsible for how Employers use information you choose to share with them.

PROHIBITED ACTIVITIES

You agree not to:

  1. Provide false, misleading, or fraudulent information, or impersonate any person or entity;
  2. Submit Candidate Content that is unlawful, infringing, defamatory, obscene, harassing, or that you do not have the right to submit;
  3. Use any robot, spider, scraper, or other automated means to access, harvest, or collect data or Job Postings from the Marketplace;
  4. Apply to Job Postings by automated means or submit applications in bad faith;
  5. Collect or harvest information about other users, Candidates, or Employers;
  6. Use the Marketplace to send spam, chain letters, or unsolicited communications, or to advertise or offer goods or services;
  7. Interfere with, disrupt, or circumvent the security or operation of the Marketplace;
  8. Use the Marketplace for any unlawful, discriminatory, or unauthorized purpose, or in violation of any applicable law or regulation; or
  9. Reverse engineer, decompile, or attempt to derive the source code of any part of the Marketplace.

APPLICATIONS AND COMMUNICATIONS

When you apply to a Job Posting or contact an Employer, you authorize us to transmit your application and Candidate Content to the relevant Employer. Communications, scheduling, screening, offers, and any resulting relationship are solely between you and the Employer. We are not responsible for the content, timing, or outcome of any such communication or for any act or omission of any Employer.

EQUAL OPPORTUNITY AND NON-DISCRIMINATION

2raywall supports equal opportunity and prohibits use of the Marketplace to discriminate against any person on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, veteran status, or any other characteristic protected by applicable law. Employers are solely responsible for their hiring criteria, Job Postings, and hiring decisions, and for compliance with all applicable equal-opportunity, anti-discrimination, and labor laws (including, in the United States, Title VII, the Americans with Disabilities Act, the Age Discrimination in Employment Act, and equivalent state and local laws). 2raywall does not make hiring decisions and is not responsible for Employers’ compliance. You agree not to submit or facilitate any discriminatory Job Posting, targeting criterion, or communication, and we may remove content or suspend access that we believe violates this section.

EMPLOYMENT SCREENING AND BACKGROUND CHECKS

2raywall is not a consumer reporting agency, background-screening provider, or employment agency, and the Marketplace is not a “consumer report” or “investigative consumer report” under the U.S. Fair Credit Reporting Act (“FCRA”) or similar laws. We do not conduct background checks and do not assemble or provide information for the purpose of determining eligibility for employment. Any background check, reference check, credit check, or similar screening is arranged and conducted by the Employer or its own third-party providers, which are solely responsible for compliance with the FCRA and all applicable federal, state, and local laws, including any required disclosures, authorizations, and adverse-action notices. You may not use information obtained through the Marketplace to take any adverse action in a manner that would require FCRA compliance unless you independently satisfy those requirements.

MATCHING, RANKING, AND AI OUTPUTS

The Marketplace may present search results, matches, rankings, or other outputs generated by algorithms or artificial intelligence. Such outputs are informational aids only, are probabilistic, and may be incomplete or inaccurate; they are not screening decisions, eligibility determinations, or professional advice. Employers remain solely responsible for independently reviewing candidates and making their own lawful hiring decisions, and Candidates remain responsible for the accuracy of their own information.

INTELLECTUAL PROPERTY

The Marketplace, the CruiseControl platform, and all software, content, designs, databases, trademarks, service marks, and logos (other than Candidate Content and Employer-provided content) are and remain the sole and exclusive property of 2raywall or its licensors, and are protected by intellectual property laws. Except for the limited right to use the Marketplace in accordance with these Marketplace Terms, no rights are granted to you, and we reserve all rights not expressly granted.

THIRD-PARTY WEBSITES AND EMPLOYER CONTENT

The Marketplace may contain Job Postings, links, or content originating from Employers or other third parties. We do not investigate, monitor, endorse, or guarantee such content and are not responsible for it. Any dealings with, or reliance on, Employers or third-party content are solely between you and the applicable third party, and you access them at your own risk.

PRIVACY

Your use of the Marketplace is subject to our Recruitment Marketplace Privacy Policy (https://cruisecontrolapp.com/legal/marketplace-privacy). For candidate-submitted information collected through public Marketplace features, 2raywall acts as an independent data controller. When you apply to an Employer, that Employer independently controls the information it receives.

DISCLAIMER

THE MARKETPLACE, ALL JOB POSTINGS, AND ALL CONTENT ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, LEGALITY, OR COMPLETENESS OF ANY JOB POSTING OR EMPLOYER, THE AVAILABILITY OF THE MARKETPLACE, OR THAT YOUR USE OF THE MARKETPLACE WILL RESULT IN ANY INTERVIEW, OFFER, OR EMPLOYMENT.

LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOST OPPORTUNITY, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE MARKETPLACE OR ANY INTERACTION WITH AN EMPLOYER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT, IF ANY, YOU PAID US TO USE THE MARKETPLACE DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION ARISING, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). CERTAIN JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE SOME OF THE ABOVE MAY NOT APPLY TO YOU.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless 2raywall and its affiliates, officers, agents, partners, and employees from and against any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of or related to: (1) your Candidate Content; (2) your use of the Marketplace; (3) your breach of these Marketplace Terms; (4) your violation of any law or the rights of any third party; or (5) your interactions or dealings with any Employer or other user.

SUSPENSION AND TERMINATION

We may, in our sole discretion and without notice or liability, suspend, restrict, or terminate your access to the Marketplace or remove any Candidate Content at any time and for any reason, including for a violation of these Marketplace Terms. Provisions that by their nature should survive termination will survive.

GOVERNING LAW AND DISPUTE RESOLUTION

These Marketplace Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Marketplace Terms or the Marketplace will be resolved in accordance with the “Dispute Resolution” provisions of our general Terms of Use, including the requirement of informal negotiation, binding arbitration, the class-action waiver, and the exclusive venue of Miami-Dade County, Florida. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION TO THE FULLEST EXTENT PERMITTED BY LAW.

CHANGES TO THESE TERMS

We may modify these Marketplace Terms at any time in our sole discretion. Changes are effective when posted, and we will update the “Last updated” date above. Your continued use of the Marketplace after changes are posted constitutes your acceptance of the revised Marketplace Terms.
